Intangible valuation in Mexico: cash flows, useful life and discount rate

A technically sophisticated rate cannot compensate for cash flows that ignore the genuine capacity to exploit the intangible.

Executive answer

Valuing an intangible between related parties starts by defining the transferred or licensed rights, who can exploit them, for how long and who controls the value-producing functions and risks. A brand, patent, software package, dataset, know-how or contract relationship is valued through economic benefits attributable to specific rights rather than through its label.

Relief from royalty, excess earnings, with-and-without, cost and comparable methods must fit the facts and available information. Cash flows, useful life and discount rate must be mutually consistent and describe the transaction. A sophisticated rate cannot cure revenue belonging to other assets or a life selected to reach a desired price.

Define the intangible and rights

Describe registration, territory, exclusivity, duration, field of use, sublicensing, modification, termination and protection. A Mexican license is not global ownership. Source code, compiled software, support and updates may be separate components.

Read agreements with conduct. If a licensee can create improvements or retain customers after termination, those rights affect cash flows. The valuation subject should match what agreement and operation actually deliver.

DEMPE map

Identify who develops, enhances, maintains, protects and exploits the intangible; who funds it; who decides; and who controls risks. Legal title alone does not determine return. Other contributors may require separate arm’s length remuneration.

The map should identify people, budgets, systems, decisions and outputs. It is not a verb-allocation chart. Signature authority without technical capability may not evidence genuine control.

Unit of account

Complementary intangibles can generate value jointly. A brand without technology or data without a platform may not produce observed cash flows. Decide whether assets are valued together or separately and explain dependencies.

Prevent residual cash flow from assigning returns from workforce, contracts, physical assets or synergies to one intangible. The unit should fit the transaction, not merely the spreadsheet.

Date and contemporaneous information

Retain roadmaps, budgets, approvals, metrics, market studies and protection status at the date. Technology changes quickly; a later valuation should not treat known success as foreseeable.

Document milestones, probabilities and then-available scenarios. Later evidence may confirm an existing condition but should be distinguished from hindsight.

Relief from royalty

This method estimates royalties the owner avoids paying. It needs attributable revenue, an arm’s length rate, life, growth, taxes and contributory charges. Comparable licenses require review of rights, exclusivity, territory, stage and bundled services.

Do not apply an observed rate mechanically to total revenue. Define the base, discounts, returns and products. Allocate or recognize other brands and patents that contribute.

Excess earnings

The method calculates earnings after rewarding contributory assets. Identify working capital, fixed assets, workforce, technology, brand and other elements. Each charge needs a coherent base and rate.

Omitting charges overstates the residual; duplication understates it. Maintain a bridge from revenue to attributable cash flow and explain why the selected intangible receives the remainder.

With-and-without

Compare scenarios with and without the intangible, including lost revenue, avoided cost, transition and mitigation. This can suit contracts, noncompete arrangements, relationships and certain technologies.

The “without” case must be realistic. A business may replace technology after time and cost. Assuming permanent disappearance can exaggerate value.

Cost approach

Cost can inform value where the intangible is reproducible and benefits cannot be estimated reliably. Consider obsolescence, failure, opportunity and reproduction or replacement cost.

Historical spending does not equal value. Expensive development can fail and efficient development can earn high returns. Explain whether cost is primary or corroborative.

Revenue forecast

Link revenue to products, territories, penetration, price, volume and adoption. Separate market growth, other assets’ contribution and future enhancements not included in current rights.

Compare with history, contracts, pipeline and capacity. For technology, model migration, churn and competition; for brands, marketing support and local market strength.

Margins and costs

Attributable margin must include exploitation, maintenance, protection and update costs. Where another affiliate performs them, include arm’s length remuneration. Do not assign benefits financed by free services to the intangible.

Separate fixed and variable cost, investment and launch spending. The model should match DEMPE policy and agreements.

Economic useful life

Legal life is only a boundary. Technology obsolescence, competition, substitution, renewal, customer behavior and maintenance determine economic life. It may be shorter or extend through supportable renewals.

Use survival curves, product cycles, alternative patents, churn and plans. Show sensitivity. A perpetual terminal value rarely suits technology without continuing investment.

Growth and terminal value

Growth must fit market, inflation, reinvestment and life. Model decline or migration where the intangible decays. Separate current value from later enhancements.

Terminal value should not capture expired rights or undeveloped technology. Explain renewals, cost and probability.

Discount rate

The rate reflects intangible cash-flow risk, which may differ from enterprise risk. Consider stage, protection, concentration, adoption, regulation and obsolescence. Do not add unsupported premiums.

Avoid duplicating risk across scenarios, probabilities and rate. A matrix shows where each factor is treated. Currency and inflation must match flows.

Tax and amortization

Define pretax or after-tax cash flows and applicable amortization benefits. Treatment depends on transaction and jurisdiction. Do not include a tax benefit unavailable to the relevant participant.

The discount rate must match the same level. Document taxes, losses and limits without turning valuation into unsupported planning.

License comparables

The search should be reproducible. Retain databases, date, terms, filters and rejections. Review exclusivity, territory, rights, stage, industry, base, minimums, upfront amounts and services.

Published ranges may mix incomparable transactions. Adjustments require data; otherwise acknowledge uncertainty and use additional methods.

Hard-to-value intangibles

Where comparables are absent and cash flows uncertain, preserve contemporaneous assumptions and risk analysis. Scenarios, probabilities and milestones are essential. Later outcomes do not automatically prove that initial value was wrong.

The file should show what was knowable and how independents would negotiate adjustments, milestones or earn-outs.

Value versus royalty

Total value and license rate connect but are not interchangeable. Rate depends on base, rights, duration and functions. Capitalizing a royalty requires consistent flows and growth.

Bridge asset price, expected royalties and returns of other entities. This exposes double remuneration.

Governance and review

Legal defines rights; business validates exploitation; finance tests flows; tax delineates transactions; valuation integrates. A committee approves assumptions and versions. The technology developer should not be the only source of projections.

Review recalculates formulas, sources, contributory charges, rate and sensitivity. Log material changes.

Minimum file

Intangible-specific sensitivities

Beyond rate and growth, test launch date, approval probability, churn, penetration, price erosion, maintenance cost, life and renewal. For a patent model substitutes; for software, migration and support; for a brand, minimum marketing investment. Variables should represent real risks rather than uniform movements.

Present combinations and break-even points. The committee needs the sales or retention level supporting price. If one milestone radically changes value, contingent consideration may better reflect independent negotiation than a fixed probability-weighted average.

Realistically available options

The licensee may develop, buy, substitute, operate without the asset or leave the market; the owner may license third parties, exploit directly or retain rights. Assess cost, time, capacity and restrictions. A purely theoretical alternative does not constrain price.

Options provide a reasonableness check. A royalty leaving the licensee worse off than a viable alternative is unlikely to be accepted. A rate below the owner’s return from another opportunity also requires explanation.

From value to agreement and invoice

The agreement should reflect the valued subject, territory, base, rate, currency, adjustments, renewals, improvements, audit and termination. Where value assumes support or upgrades, determine whether they are included or separately charged. Invoicing and accounting follow the same characterization.

For a transfer, reconcile payment, registration, file delivery, access control and DEMPE responsibility changes. For a license, monitor the base and withholding. A valuation isolated from execution does not demonstrate that the analyzed transaction occurred.

Monitoring and update events

Define indicators: sales, users, milestones, remaining life, litigation, competitors, investment and royalties. A material change may require prospective policy review or operation of a clause; it does not justify retrospective hindsight.

Assign owners and dates. Explain deviations through new information, execution or assumptions. This discipline preserves contemporaneous evidence and improves later valuations.

Cross-functional approval questions

Before approval, legal should confirm that modeled rights exist and can be transferred; business should confirm that the exploitation plan is operationally possible; finance should reconcile revenue and cost assumptions; tax should test DEMPE remuneration and applicable compliance; and the valuer should demonstrate method and sensitivity. Any unresolved qualification should be visible to the decision maker.

The committee should also ask whether another group agreement rewards the same contribution, whether projected improvements belong to current rights, whether protection costs are funded, and whether the buyer or licensee has the people and capital needed to exploit the asset. Written answers prevent an attractive model from outrunning the actual operating plan. The approval record should identify the selected point within the range, reasons for selection and events requiring reconsideration.

Include agreement, registrations, DEMPE, roadmap, dated budgets, forecasts, comparables, methods, charges, life, rate, sensitivity, approvals and payments. The executive summary separates facts, assumptions and limitations.

The file should reproduce the outcome. Broken links and pasted values weaken control even when the number appears plausible.

Illustrative example

A group licenses software into Mexico. It defines version, territory and updates; maps development and support; forecasts revenue and churn; applies relief from royalty and cross-checks excess earnings. Life reflects technology migration and the rate reflects adoption risk. Agreement, pricing and developer remuneration reconcile.

Warning signs

Warnings include an ambiguous subject, unread rights, all profit assigned to a brand, a rate taken from a generic range, legal life used without analysis, perpetual terminal value, inconsistent DEMPE, omitted charges and later forecasts. Cost treated as value without support is another.

These signs do not determine another amount. They indicate that the model may reward the wrong asset or entity.

Conclusion

Intangible valuation connects rights, DEMPE, cash flows, life and risk. The method is reliable only where all describe the same transaction and date.

A defensible result acknowledges uncertainty, prevents double counting and shows why independents would agree the price or royalty.

It also leaves a clear audit trail from legal rights through the final invoice.
